Restructuring & Insolvency

Formal options when the pressure is on

We help directors understand the full menu of restructuring and insolvency pathways under the Corporations Act 2001 — and choose the one that fits the facts.

Small Business Restructuring (SBR)

A formal, director-led process for eligible companies with liabilities under $1 million. Directors keep control while a restructuring practitioner helps propose a plan to compromise unsecured debts.

  • Directors remain in control
  • Typically 20 business days to propose a plan
  • Creditors vote by majority in value
  • Protection from unsecured creditor enforcement

Best for: viable businesses burdened by tax debt, supplier arrears or COVID-era liabilities.

Voluntary Administration & DOCA

Voluntary Administration (VA) places an independent administrator in control to assess the business and recommend rescue or winding up. A Deed of Company Arrangement (DOCA) can bind creditors to a compromise.

  • Independent assessment of viability
  • Moratorium on creditor enforcement
  • DOCA can restructure debt and ownership
  • Suitable for larger or more complex cases

Best for: companies over the SBR threshold or where creditor trust has broken down.

Creditors' Voluntary Liquidation (CVL)

An orderly winding up initiated by directors and shareholders when the business is not viable. A registered liquidator realises assets, investigates affairs and distributes funds to creditors.

  • Directors initiate, creditors endorse
  • Investigation of company affairs
  • Fair distribution to creditors
  • Pathway to deregistration

Best for: businesses where rescue is not commercially achievable.

Important: These descriptions are general information only. Eligibility, costs, timelines and outcomes depend on the specific circumstances of each company. Only a registered liquidator can act as a restructuring practitioner, voluntary administrator or liquidator. Please contact us for a confidential discussion about your situation.

Case studies

How we have helped Australian businesses

These case studies are illustrative composites based on common scenarios we encounter. They are not representations of guaranteed outcomes.

SBR Construction

Subcontractor uses SBR to remit DPN and keep trading

A civil subcontractor with $720,000 in liabilities — mostly ATO BAS and PAYG withholding — received a non-lockdown Director Penalty Notice. The underlying business was profitable, but legacy debt was suffocating cash flow.

Outcome

We assisted the directors to appoint a restructuring practitioner within the 21-day DPN window, remitting the director penalty. A restructuring plan was proposed and accepted by creditors, compromising unsecured debts over 24 months while the company continued trading and retained its team.

DOCA Hospitality

Hospitality group avoids liquidation through DOCA

A regional restaurant group with $2.1 million in liabilities had fallen behind on rent, supplier debts and employee entitlements after two difficult trading years. SBR was unavailable due to the liability threshold.

Outcome

We supported the board through voluntary administration. An independent administrator assessed the business and creditors approved a DOCA that deferred part of the debt, injected new working capital and preserved 35 jobs across three venues.

CVL Retail

Orderly CVL for a family retail business

A second-generation retail business had been loss-making for three years. Despite multiple turnaround attempts, the market had shifted permanently online and the business was no longer viable.

Outcome

We advised the family on their duties and options, then facilitated a creditors' voluntary liquidation. The liquidator realised assets, dealt with creditor claims and investigated the company's affairs, allowing the family to close the chapter responsibly and move on.

Structure Professional Services

Professional firm restructures for growth and asset protection

A fast-growing consultancy operated as a partnership. The owners wanted to protect personal assets, bring in new equity partners and prepare for a future sale.

Outcome

We restructured the practice into a company and discretionary trust group, implemented shareholder agreements, and put in place Division 7A-compliant profit distribution policies — positioning the firm for capital raising and a cleaner exit.

Tax Manufacturing

Manufacturer reduces effective tax rate through planning

A family-owned manufacturer was paying tax at the top marginal rate through a trust structure that no longer suited the business's scale or the family's circumstances.

Outcome

We completed a tax review, restructured the family group's income streaming, accessed the lower company tax rate where appropriate, and established an SMSF strategy for the business premises — materially reducing the family's effective tax rate.

Advisory Healthcare

Allied health practice scales with virtual CFO support

A growing allied health practice had strong revenue but poor visibility over cash flow, practitioner profitability and NDIS compliance costs.

Outcome

We implemented monthly management reporting, cash flow forecasting and KPI dashboards. The owners could finally see which practitioners and services were profitable, leading to a 22% improvement in operating cash flow within 12 months.

Current developments

What Australian business owners should know now

August 2026

ASIC's latest insolvency data

ASIC continues to publish data packs on voluntary administration, DOCA and SBR outcomes. The data shows construction and hospitality remain the most represented industries in formal appointments, and that early intervention produces better outcomes.

July 2026

ATO debt collection is accelerating

After a period of pandemic-era leniency, the ATO has resumed firmer debt collection activity. Directors with unlodged activity statements or unpaid super are at heightened risk of garnishees and director penalty notices.

June 2026

Small business restructuring update

SBR remains the most accessible formal rescue pathway for eligible companies. However, strict eligibility rules — including the $1 million liability cap and the 7-year exclusion period — mean timing and preparation are critical.
